·         Retained in 2005 to evaluate on all aspects of commercial and technical on proposed acquisition of leading European sheet steel producer.

·         Retained in 2005 to assist with commercial and strategic due diligence on acquisition of 7 MT European steel producer Lucchini

·         Retained in 2005 to undertake an extensive world stainless cold rolled market study for one of the top three international stainless steel producers.

·         Retained in 2005 by leading Japanese integrated producer to assist in strategic acquisition

·         Retained in 2005 to assist with commercial, strategic and technical due diligence on the pending acquisition in the world pig iron and iron powder metals market.

·         Retained in 2004 to undertake an extensive technical, engineering and commercial due diligence of the proposed John Correnti exposed automotive quality sheet minimill.

·         Retained in late-2004 to act as primary commercial and technical due diligence advusor for the proposed leading candidate acquisition of Stelco of Canada

·         Retained in 2003 to assist major U.S. flat rolled minimill operating company with downstream strategies including steel and downstream acquisitions

·         Retained in late-2003 to assist Severstal with the strategic acquisition of automotive integrated steel producer Rouge Steel.  Work included leading the labor negotiations process and concluding with a successful, competitive labor contract.

·         Retained in 2002 to assist major Canadian integrated steel producer on the acquisition of business units of Copperweld Corp.

·         Retained in 2002 by KPMG and the U.S. Department of Justice to undertake comprehensive due diligence review of business plans and Emergency Steel Loan applications of Geneva Steel and Wheeling Pittsburgh Steel Corp.

·         Retained in 2002-03 to serve as steel industry advisor for the Pension Benefit Steel Corporation (PBGC) in assessing the viability of major steel and aluminum company pension plans.  Work to date has included over a dozen major company evaluations.

·         Retained in 2002 to develop a comprehensive Business Plan for one of the largest multi-plant minimill steel companies in North America .

·         Retained in June through year-end 2001 to undertake comprehensive due diligence evaluation of LTV Steel restructuring Business Plan involving all aspects including commercial, strategic, technical, engineering, labor, raw materials, energy, management.

·         Retained in 2002 by major Chinese steel company to provide on-site technical and engineering advice related to a major capital investment.

·         Senior staff retained in 1998 – to – date to undertake various commercial feasibility studies for new plants and product lines of a leading U.S. minimill group.

·         Retained in 2002 to develop and conduct a three-day senior management seminar for Commercial Metals Corporation

·         Retained in 2001 to find an international buyer and help facilitate acquisition process for a U.S.-based flat rolled steelmaker.

·         Advised foreign mining company during strategic due diligence regarding acquisition of North American iron ore prospect in 2001.

·         Retained in 2001 to advise major U.S. investment house and U.S. steel company on planned acquisition of Latin American pipe and tube making operation.

·         Retained in 2001 to undertake a comprehensive study of the North American purlins and pre-paints coil markets for a North American flat rolled steelmaker.

·         Retained in 2000 to undertake a comprehensive three-month study of the U.S. tin mill products and downstream markets for a major producer.

·         Retained in 2000 to advise client on the proposed acquisition of a major Brazilian iron ore mining and pellet company.

·         Retained in 1999/2000 to conduct a five-month, long-term strategic business evaluation for a major international iron ore producer.

·         Retained in 2000 by a leading U.S. multi-plant minimill company to conduct several plant, market and product feasibility evaluations.

·         Retained in 1997/98 to conduct six-month site selection and commercial and competitive feasibility for proposed new $350 million, 1.5 million ton/year minimill Steckel plate steel works for Ipsco in the United States.

·         Retained in 1999 by a major international financial institution to conduct an extensive commercial and financial risk evaluation related to a proposed $250 million financing package for a major Indian steel producer.

·         Retained in 1998/99 to conduct an acquisition analysis regarding the world’s leading specialty metals waste processing company for a major international financial investment group.

·         Retained in 1997/98 to conduct a four-month site selection and commercial feasibility study for a major $500 million, two million to one/year expansion of Ispat Mexicana into automotive quality hot rolling, cold rolling and galvanizing.

SELECTED STEEL MERGER & ACQUISITION PROJECTS

·         Retained in 2001 to find an international buyer and help facilitate acquisition process for a U.S.-based flat rolled steelmaker.

·         Retained to advise Bayou and its financial partners on the feasibility of the proposed acquisition of Northwestern Steel & Wire in 1998.

·         Retained in 2001 to advise major U.S. investment house and U.S. steel company on planned acquisition of Latin American pipe and tube making operation.

·         Conducted advisory services and due diligence study in 1995 on behalf of a major New York financial institution and client steelmaker related to the proposed acquisition of a major North American structural steel producer.

·         Retained as anti-trust and commercial risk advisor to Blackstone Group, Bar Technologies, Inc. and their financial partners in respect to the acquisition of Republic Engineered Steels in 1998/99.  The acquisition resulted in the formation of Republic Technologies, which is now the largest SBQ bar and wire producing company in the Western Hemisphere .

·         Retained in 1996 to conduct detailed due diligence advisory services for major New York financial institution related to the sales and public offering of one of the premier foundry operations in North America .

·         Retained in 1996 by major New York-based financial advisory firm and client related to the $10 to $15 billion acquisition and privatization of one of the world’s largest iron ore mining companies.

·         Retained in 1995/96 by a major international financial institution to advise on a the merits of a potential major equity position in Steel Dynamics Inc., the $400 mn, greenfield minimill featuring thin slab casting, ultra light-gauge hot and cold rolling, and galvanizing.

 

SELECTED STEEL LEGAL / EXPERT WITNESS PROJECTS

·         Christopher Plummer retained as the primary steel industry expert witness for the successful 1996 defense in the $3.1 billion civil suit brought against both USX and the United Steelworkers of America .  This highly publicized case -- the largest ever brought against a US steel company -- had significant  implications in that the defendants had earlier lost the related federal criminal case resulting in substantial multi-million dollar fines and penalties, the concern over which was evidenced by the daily on-site presence of USS top management over the course of the entire seven week trial.

·         C. Plummer / MSI retained as expert witness by Duferco in defense of its force majure cancellation of a planned purchase of the assets of Sydney Steel Corp. of Nova Scotia , Canada

·         Managing Director Christopher Plummer appeared as expert steel industry witness at request of joint Congressional committee on long-term technical issues, challenges, and potential disruptive forces facing the US and world steel industries.

·         C. Plummer called to testify before several closed door hearings on U.S. federal trade policy issues including Section 201, Section 232, and world steel capacity reduction talks, during course of 2001.
